These Terms of Service ("Terms") govern your use of Conch ("the App"), a mobile client published by Eight 24 Family LLC (trading as Conch Labs) ("we", "us"). By installing or using the App you accept these Terms. If you don't accept them, don't use the App.

1. What the App is

Conch is a thin native Android client that connects to SSH servers you already own or have permission to use and runs an AI command-line tool of your choice (Claude Code, Codex CLI, or Gemini CLI) on those servers. The App does not host, proxy, or process any AI requests on our infrastructure — we have no infrastructure beyond your installation. Your SSH credentials, prompts, and any output stay between your phone and your servers.

2. Your responsibilities

By using the App, you confirm that:

You own, or have explicit permission to access, every SSH server you add. The App will faithfully execute commands a connected agent decides to run; you accept the consequences of granting an autonomous agent access to your hosts, including running with --dangerously-bypass-approvals-and-sandbox / --dangerously-skip-permissions / --yolo modes if you select them.
You comply with the terms of service of any third-party AI provider whose CLI you drive through this App (Anthropic, OpenAI, Google), including their acceptable-use policies and rate limits.
You don't use the App for illegal activity, network attacks against systems you don't own, generation of malware, or any other use prohibited by applicable law.
You're old enough to enter into a binding contract in your jurisdiction.

3. Licence and commercial use

Both the App's source code and the compiled binary distributed via the Play Store and GitHub Releases are licensed under PolyForm Noncommercial 1.0.0.

Free for any noncommercial purpose — personal use, hobby projects, study and research, education, charitable and government use.
Commercial use requires a separate commercial licence from Eight 24 Family LLC. That includes use by a company or other organisation as part of its business operations, redistribution, white-labelling, and embedding the App in a product you sell.

A commercial licence is granted in writing and does not arise from these Terms. To ask about one, or to send a security questionnaire or vendor-onboarding paperwork: contact@eight24family.ai.

4. Updates

We may update the App at any time. We may also stop maintaining or distributing it at any time. Updates may add, change, or remove features. Continued use after an update means you accept the changes.

5. Disclaimer of warranty

The App is provided "as is" and "as available" without warranties of any kind, express or implied. We make no warranty that the App will be uninterrupted, error-free, secure, free of viruses, or that it will achieve any particular result. SSH connections, AI agent behaviour, and the state of your servers after an agent runs are entirely your responsibility.

6. Limitation of liability

To the maximum extent permitted by applicable law, Eight 24 Family LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to: lost data, lost servers, accidental file deletions caused by an agent we connected to, leaked secrets, downtime, or lost profits — whether based on warranty, contract, tort, or any other legal theory, even if we were advised of the possibility of such damages.

If a court rejects the disclaimer above, our total liability is capped at the amount you paid us for the App, or USD $5, whichever is greater.

7. Indemnity

You agree to indemnify and hold harmless Eight 24 Family LLC from any claim, damage, or expense arising out of (a) your use of the App, (b) your breach of these Terms, (c) actions an AI agent takes on your servers while you were using the App, or (d) your violation of any third party's rights.

8. Termination

You can stop using the App at any time by uninstalling it. We can terminate your right to use the App if you breach these Terms. Sections 5, 6, 7, and 11 survive termination.

9. Privacy

Your use of the App is also governed by our Privacy Policy, accessible from inside the App and at the same URL these Terms are published.

10. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws principles. Any dispute arising out of these Terms or the App will be resolved in the state or federal courts located in Delaware, and you consent to exclusive jurisdiction there.

If you live in a jurisdiction where mandatory consumer-protection laws apply differently, those laws override anything inconsistent in this section.

11. Miscellaneous

If any part of these Terms is held unenforceable, the rest remains in effect.
Failure to enforce a right is not a waiver of it.
These Terms are the entire agreement between you and us about the App.
We may assign these Terms; you may not.
